These General Terms and Conditions of Online Sale ("GTCS") apply exclusively to current and future commercial relations between :

Any individual or legal entity with the legal capacity to make a purchase via the website "https://www.inshape-nutrition.com/", hereinafter referred to as the "customer"

By placing an order on the websitehttps://www.inshape-nutrition.com(hereinafter referred to as "the site"), you confirm that you are aware of and accept, without reservation, all of these GTCS. The GCS applicable to the order placed by the customer are those in force on the site at the date of said order. They shall prevail over any other general or special conditions not expressly approved by the seller.

The seller reserves the right to adapt or modify these terms and conditions at any time. It is therefore imperative to reread and accept the applicable terms and conditions before placing any order. The date of the last update of these GTC is indicated at the top of this page.

ORDERS

The customer may place an order:

either directly on the https://www.inshape-nutrition.com website

or via the brand's sales representative

. The order will be registered and validated on the website once the customer has followed the instructions indicated on the website. In accordance with the provisions of the French Civil Code on the conclusion of online contracts, the contract will be concluded when you click on the button allowing you to confirm your order after having viewed the details of your order and in particular its total price, and having had the opportunity to correct any errors.

The seller will then send the customer an e-mail confirming the order recorded. Please note that placing an order confirms unreserved acceptance of the entirety of these General Terms and Conditions of Sale. This confirmation, together with all the data recorded by the seller, will constitute proof of the commercial transaction.

The seller will keep order forms and invoices on a reliable and durable medium constituting a faithful copy in accordance with the provisions of article 1348 of the French Civil Code. Contracts concluded on our website (data relating to your order and GCS in force on the day of your order) are archived for a period of 10 years.

The seller's computerized records will be considered by the parties as proof of communications, orders, payments and transactions between the parties. You may access archived contracts by sending a request by e-mail to help@inshape-nutrition.com or by post to 420 boulevard de Charavines - Campus Inolab, 38500 Voiron.

The seller undertakes to honour all orders received via the above-mentioned sales channels. If a product is unavailable, the customer service department undertakes to inform the customer to offer a substitute product or to refund the order.

If a product is no longer manufactured or cannot be restocked within one month, the seller undertakes to remove the product presentation sheet from the site. The site reserves the right to refuse to honour an order from a customer who is not up to date with his or her obligations towards the Vendor.

PRICES, PRODUCTS, PAYMENT

Prices are quoted in euros, inclusive of VAT at the time of ordering; any change in the VAT rate may be reflected in the price of the products. The seller reserves the right to modify its prices at any time, it being understood however that the price indicated on the day of the order will be the only one applicable to the customer.

Any reference price displayed next to the selling price is established using :

The lowest price actually charged by the advertiser during the last 30 days prior to the start of the promotion
The price recommended by the manufacturer or importer of the product
The maximum price resulting from a regulatory provision
The last price recommended by the manufacturer or importer
The price of transport will be automatically calculated and updated according to the delivery method, item and delivery location selected, and will be indicated in the customer's cart purchase order.

For zones outside the European Union, customs or import taxes are due as soon as the parcel reaches its destination country. The customer must then pay any additional customs clearance taxes.

The seller has no control over these taxes and is therefore unable to predict them. For further information and precise pricing, please contact your local customs office.

The Products comply with current European regulations concerning vitamins, minerals and certain other substances in foodstuffs.

The Products are registered under the file number of the Federal Public Service "Public Health, Safety of the Food Chain and Environment".

Regarding promotions and discount codes:

Discount codes applied on the www.inshape-nutrition.com website are valid within the limits of available stocks and in participating stores. They are applicable directly at the time of your payment or directly at the time of your purchase in participating stores.
Promotional codes are subject to general conditions of use and have an expiry date.
These codes cannot be combined with other discount codes.

With regard to products, the essential characteristics of the items offered for sale on the site are described and presented as accurately as possible. In the event of unavailability of products after the order has been placed, the customer will be informed by e-mail, telephone or post.

The seller will offer the customer:

Either the replacement of the product ordered by a similar product at an identical price. In this case, once the similar product has been received, the seller will bear the cost of returning the product.
Or reimbursement of the sums paid within a maximum period of thirty days. After this period, interest will be charged on the sums paid at the legal rate.
The choice of method of payment is made when the cart purchase order is made. A full description of payment methods can be consulted on the site under the heading "Payment methods".

Products and delivery charges are payable according to the payment option expressly chosen by the customer on the site. All payments must be made in Euros, all taxes included.

The site has implemented an order verification procedure designed to ensure that no one uses another person's bank details without their knowledge.

As part of this verification, the customer will be asked to fax or email the seller a copy of an identity document and proof of address less than 3 months old. The order will be validated only after receipt and verification by our services of the documents sent.

DELIVERY TIMES AND METHODS

DELIVERY DEADLINES

In accordance with article L111-1 of the French Consumer Code, the delivery time for an order is indicated on the cart website before the final conclusion of the transaction.

It runs from the time the order is processed by the seller's logistics department. Any order for an in-stock product confirmed by the seller before 9am is processed and dispatched the same day.

In the event of non-compliance with this delivery time, the customer may cancel the sale under the conditions set out in the second and third paragraphs of article L.216-2 of the French Consumer Code. The customer will then be reimbursed in accordance with article L. 216-3 of the French Consumer Code.

In accordance with legal provisions, in the event of a delay in delivery of more than seven days, the customer may cancel the order within sixty working days.

DELIVERY METHOD

The processing and delivery times indicated to the Customer are in working days. Shipping times correspond to average order processing times.

Products are delivered to the delivery address indicated by the Customer at the time of placing the order, and the Customer must take all necessary steps to ensure that delivery is carried out correctly.

The Company declines all responsibility for late delivery or loss of Products if the Customer has indicated an incomplete or erroneous address, or if the Customer does not collect the Products within the time limit set for this purpose.

In the event of an abnormally long delivery time, the Customer may contact Customer Service by e-mail using the contact form available on the https://www.inshape-nutrition.com/ website, so that an inquiry can be made with the carrier.

Upon receipt of the order, the Customer must check the condition of the package, its packaging and its contents, in the presence of the employee of the transport company.

In the event of damaged products, the Customer undertakes to notify the carrier and the Company immediately upon delivery, specifying the order number.

DELIVERY TERMS

The site reserves the right to refuse to make a delivery from a customer who is not up to date with his or her obligations to the seller.

If the customer is absent from home at the time of delivery, a delivery notice will be left in the customer's letterbox with the carrier's contact details so that the customer can contact the carrier and make an appointment. Delivery is considered to have been made on the date the order is received at the address indicated on the order form.

For reasons of availability, an order may be delivered to the customer in several instalments.

In this case, the customer pays for only one delivery. If the customer wishes two delivery locations, he/she must place two separate orders with separate delivery charges.

TRANSPORT

Delivery of products is entrusted to carriers selected by the seller, within the geographical areas covered by the site (Worldwide except USA and Canada). Delivery is made by handing over the product directly to the named addressee or, in the event of absence, to another person expressly authorized by the customer.

Upon delivery, the customer is advised to ensure that the products have not been damaged during transport. If the customer notices an apparent anomaly, he may either accept or refuse the products. In both cases, he/she may report the said apparent anomalies on the carrier's delivery slip or by registered letter with acknowledgement of receipt to the carrier within three working days, and send a copy to the seller (420 boulevard de Charavines - Campus Inolab, 38500 Voiron). In the case of delivery by the postal services, the same precautions apply.

If an anomaly is noted, the customer is advised to complete an anomaly report. If the products have been accepted, the customer may contact our services in order to organize a return of the product in accordance with the formalities described in the "Right of withdrawal" article.

It is advisable to enclose copies of the delivery note if this has been annotated, the letter addressed to the carrier and/or the anomaly statement with the returned product(s). If the products are refused, the customer must ask the carrier to return the products to the seller. In this case, it is advisable to send the seller a copy of the annotated delivery note, the letter addressed to the carrier and/or the statement of anomaly by recorded delivery to facilitate the processing of the case.

TRANSFER OF OWNERSHIP

The transfer of ownership of the goods will be postponed until full payment of the price and delivery charges by the customer.

In the event of deferred payment, the seller will retain ownership of the goods until full payment of the price and delivery charges under the contractually agreed conditions, even in the event of bankruptcy proceedings being instituted against the customer, in accordance with articles L.621-122 et seq. of the French Commercial Code. et seq. of the French Commercial Code.

However, from the date of receipt of the order by the customer or a person expressly authorized by the customer, the risks of the products delivered are transferred to the customer.

RIGHT OF WITHDRAWAL

As a consumer, you have 14 days to exercise your right of withdrawal. In the case of an order for products, the period begins upon receipt of the products. In the case of a service order, the period runs from acceptance of the offer. If the 14-day period expires on a Saturday, Sunday or public holiday, it is extended to the next working day.

In accordance with article VI.53 5° of the Code of Economic Law, the Customer is informed that this right of withdrawal does not exist for sealed Products, opened after delivery and non-returnable by the Customer for reasons of hygiene and/or health protection.

You do not need to give any reason for exercising your right of withdrawal, and you will not incur any penalties. If you wish to exercise your right of withdrawal, you must follow the steps described in your returns form in order to return the product to the following address:

In order to facilitate the return of the product and the processing of the file, the customer may contact the seller in advance by e-mail by accessing the contact form in order to obtain a number and a return form. The exercise of the right of withdrawal gives rise to a reimbursement of the sums paid at the time of the order as soon as possible and no later than 14 days from the date on which the customer exercised this right. The seller may, however, defer reimbursement until recovery of the goods or proof of reshipment by the customer in the case of physical goods.

It should be noted that the amount of the goods is refunded in full and shipping costs are free for all returns to points of sale or by standard delivery weighing less than 5kg and returned from metropolitan France (including Corsica and Monaco).

For all parcels over 5kg, you must contact us via the contact form to obtain the return address and your return number. You can then return it to this address.

GUARANTEES

The Products offered by N4Brands are subject to the warranty against hidden defects provided for in articles 1641 et seq. of the French Civil Code and to the legal warranty of conformity provided for in articles L.217-4 et seq. of the French Consumer Code.

IN THE EVENT OF LACK OF CONFORMITY

Dans le cadre de la garantie légale de conformité, le Client bénéficie d’un délai de deux ans à compter de la délivrance du Produit pour agir. Il peut choisir entre le remplacement du Produit ou remboursement (ou annulation de la vente).

Toutefois, si le choix du Client entraîne un coût manifestement disproportionné au regard de l’autre modalité pour la Société compte tenu de la valeur du Produit ou de l’importance du défaut, la Société procèdera, sauf impossibilité, selon la modalité non choisie par le Client.

Le Client est dispensé de rapporter la preuve de l’existence du défaut de conformité du Produit au moment de la délivrance durant les vingt-quatre mois suivant la délivrance du Produit.

La garantie légale de conformité ne s’applique pas si N4Brands apporte la preuve que le défaut de conformité n’existait pas lors de la délivrance du Produit.

En vertu du Code de la consommation, un Produit est considéré comme non conforme :

Soit lorsqu’il n’est pas propre à l’usage habituellement attendu d’un produit semblable et, le cas échéant :

Ne correspond pas à la description donnée par le vendeur et ne possède pas les qualités que celui-ci a présentées à l’acheteur sous forme d’échantillon ou de modèle ;

Ne présente pas les qualités qu’un client peut légitimement attendre eu égard aux déclarations publiques faites par le vendeur, par le producteur ou par son représentant, notamment dans la publicité ou l’étiquetage ;

Soit lorsqu’il ne présente pas les caractéristiques définies d’un commun accord par les parties ou n’est pas propre à l’usage spécial recherché par le Client, porté à la connaissance du vendeur et que ce dernier a accepté.

Toutefois, la garantie de conformité est exclue lorsque le Client a eu connaissance du défaut ou ne pouvait l’ignorer au moment de contracter.

Dans le cadre de la garantie contre les vices cachés de la chose vendue au sens du Code civil, le Client peut choisir entre la résolution de la vente et une réduction du prix de vente du Produit conformément à l’article 1644 du Code civil.

Un vice caché s’entend d’un défaut non apparent du Produit, le rendant impropre à l’usage auquel on le destine ou qui diminue tellement cet usage que le Client ne l’aurait pas acquis ou en aurait donné un moindre prix s’il l’avait connu. L’action résultant des vices cachés doit être engagée dans les deux ans de la découverte du vice.

Les dispositions légales applicables sont reproduites ci-dessous :

Article L.217-4 du Code de la consommation : « Le vendeur livre un bien conforme au contrat et répond des défauts de conformité existant lors de la délivrance. Il répond également des défauts de conformité résultant de l’emballage, des instructions de montage ou de l’installation lorsque celle-ci a été mise à sa charge par le contrat ou a été réalisée sous sa responsabilité ».

Article L.217-5 du Code de la consommation : « Le bien est conforme au contrat :

S’il est propre à l’usage habituellement attendu d’un bien semblable et, le cas échéant :

A présenté à l’acheteur sous forme d’échantillon ou de modèle ;
S’il présente les qualités qu’un acheteur peut légitimement attendre eu égard aux déclarations publiques faites par le vendeur, par le producteur ou par son représentant, notamment dans la publicité ou l’étiquetage ;
Ou s’il présente les caractéristiques définies d’un commun accord par les parties ou être propre à tout usage spécial recherché par l’acheteur, porté à la connaissance du vendeur et que ce dernier a accepté ».

Article L.217-12 du Code de la consommation : « L’action résultant du défaut de conformité se prescrit par deux ans à compter de la délivrance du bien. »

Article 1641 du Code civil : « Le vendeur est tenu de la garantie à raison des défauts cachés de la chose vendue qui la rendent impropre à l’usage auquel on la destine, ou qui diminuent tellement cet usage que l’acheteur ne l’aurait pas acquise, ou n’en aurait donné qu’un moindre prix, s’il les avait connus »

Article 1648 du Code civil, premier alinéa : « L’action résultant des vices rédhibitoires doit être intentée par l’acquéreur dans un délai de deux ans à compter de la découverte du vice. Dans le cas prévu par l’article 1642-1, l’action doit être introduite, à peine de forclusion, dans l’année qui suit la date à laquelle le vendeur peut être déchargé des vices ou des défauts de conformité apparents ».

HOW PRODUCT CLASSIFICATION WORKS

Customers have numerous options for finding the product they are looking for. The "Sort" or "Filter" functions enable the Customer to sort the results according to his Preference needs, based on price, stock, etc. The "Filter results" functions allow the customer to include or exclude different options to suit their needs.

If no option is chosen, the Product display settings are made without automaticity according to our recommendations, in particular depending on the novelty of the Products.

PERSONAL DATA - COOKIES - SECURITY

As part of the execution of the GTC, the Company may process customer data for the purposes of managing and executing orders, providing online sales service, administering the Site and improving the Company's marketing policy. The information requested is necessary for the Company to offer the services the Customer wishes to receive.

The Company attaches great importance to respect for privacy and takes all necessary measures to ensure the confidentiality and security of Customers' personal data.

It implements a process of continuous improvement of its compliance with the General Data Protection Regulation (RGPD), the ePrivacy Directive, as well as Law No. 78-17 of January 6, 1978 known as Informatique et Libertés to ensure the highest level of protection for your personal data.

For any information on the protection of personal data, you can also consult the website of the Commission Nationale de l'Informatique et des Libertés www.cnil.fr. Customer data is kept for the duration of the contractual relationship. Once the contractual relationship has expired, the data is kept for a maximum cumulative period of 3 years under the conditions detailed in the confidentiality policy.

In the event of a dispute concerning the use of his or her data, the Customer may refer the matter to the Commission Nationale de l'Informatique et des Libertés (CNIL).

NEWSLETTER

Unless the Customer objects, the Company may send him/her a newsletter and personalized alerts, notably by e-mail or SMS.

If the Customer no longer wishes to receive promotional messages, he/she may unsubscribe at any time from his/her Account or by clicking on the unsubscribe link in each promotional message.

AMENDMENTS TO THE GENERAL TERMS AND CONDITIONS

N4Brands reserves the right to change these conditions at any time, without prior notice. The version of the GCS applicable to the transaction placed by a Customer are those appearing on the Site at the time of the order and which the Customer will have accepted at the time of validating his order.

The version of the GCS applicable to the order is sent by email to the Customer at the same time as the confirmation of the order or at the time of the reception of the payment in the event of payment by cheque or bank transfer.

PROOF AGREEMENT

Customers understand and accept that all information, content, files, documents, and any element exchanged electronically via the Site with the Company constitute valid, admissible, reliable, opposable evidence, and have the probative force of a private deed, unless proven otherwise.

Customers undertake not to contest the admissibility, validity, opposability, reliability or probative force of these elements.

APPLICABLE LAW - DISPUTE RESOLUTION

The contract formed by the acceptance of these General Terms and Conditions of Sale at the time of ordering is subject to French law. The language of the present contract is French. In the event of a complaint following an order, the Customer may contact the customer service department to find an amicable solution at the following address: N4BRANDS, 420 Bd de Charavines, 38500 Voiron or by form, indicating his contact details and any information he may be asked to provide to enable the dispute to be resolved.

If the dispute persists, the Customer may contact the European Commission's online dispute resolution service at this address https://ec.europa.eu/consumers.

In the absence of an amicable settlement, and in accordance with the provisions of article R.631-3 of the French Consumer Code, the Customer may bring any dispute relating to these General Terms and Conditions of Sale for Products either before one of the courts having territorial jurisdiction under the French Code of Civil Procedure, or before the court for the place where the Customer resided at the time the contract was concluded or at the time the harmful event occurred.
